Rules governing the use of our intellectual property management services and your responsibilities as a client.
NicholasSeirlis provides B2B patent documentation, trademark maintenance, and commercial licensing framework services. All work is performed in accordance with Canadian Intellectual Property Office (CIPO) regulations. We do not provide legal advice or representation before any court or tribunal. Our role is limited to administrative and procedural support for your IP portfolio.
You are responsible for providing accurate and complete information regarding your intellectual property assets. You must promptly respond to requests for documents, signatures, or instructions. Failure to provide timely information may result in missed deadlines, for which NicholasSeirlis is not liable. You retain full ownership of your IP rights throughout the engagement.
NicholasSeirlis shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of IP rights, business interruption, or legal costs. Our total liability for any claim is limited to the fees paid for the specific service giving rise to the claim. This limitation does not apply where prohibited by applicable law.
Either party may terminate the service agreement with 30 days written notice. Upon termination, you will receive copies of all documents prepared on your behalf. NicholasSeirlis reserves the right to terminate immediately if you breach these terms or engage in conduct that jeopardizes our compliance with CIPO regulations. No refunds are provided for services already rendered.
We may update these terms from time to time to reflect changes in our services, legal requirements, or regulatory guidance. Material changes will be communicated via email at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated terms. The current version is always available on this page.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Toronto, Ontario.
